Welcome to Qalm (“the Service”), a quarterly tax estimation tool operated by TaxSphere AI LLC (“TaxSphere,” “we,” “us,” or “our”). By accessing or using the Service at qalmtax.com, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the Service.
1. Service Description
Qalm is a web-based tax estimation tool designed to help individuals with multiple income streams — including W-2 employment, freelance work, and short-term rental income — estimate their quarterly tax obligations.
Qalm is a tax estimation tool. It is not a tax preparation service, a tax filing service, or a substitute for professional tax advice.
All figures provided by Qalm are estimates intended for planning purposes only. The accuracy of these estimates depends on the information you provide and the tax rules in effect at the time of calculation. Tax laws change frequently, and your actual tax liability may differ from any estimate Qalm provides.
2. No Professional Relationship
Your use of Qalm does not create a CPA-client relationship, attorney-client relationship, or any professional advisory relationship between you and TaxSphere AI LLC, its employees, contractors, or affiliates.
No communication through Qalm — including AI-generated summaries, calculated estimates, or any other content — constitutes professional tax advice, legal advice, or financial advice.
You are solely responsible for your tax obligations. We strongly encourage you to consult a qualified tax professional (such as a CPA or enrolled agent) before making tax decisions based on any estimate from Qalm.
3. User Responsibilities
By using Qalm, you acknowledge and agree that:
- All estimates are for planning purposes only and are not guarantees of your actual tax liability.
- You are responsible for the accuracy of the information you enter into Qalm.
- You will verify all estimates with a qualified tax professional before relying on them for tax payments or financial decisions.
- You will not hold TaxSphere liable for any discrepancy between Qalm's estimates and your actual tax liability.
- You will use the Service only for lawful purposes and in compliance with all applicable laws and regulations.
4. Account Registration
Certain features of Qalm require you to create an account. When you create an account, you agree to:
- Provide accurate and complete information.
- Keep your login credentials secure and confidential.
- Notify us immediately if you believe your account has been compromised.
- Accept responsibility for all activity that occurs under your account.
You must be at least 18 years old to create an account and use the Service.
5. Subscription Plans and Pricing
Qalm offers three tiers of access:
Free Tier (No Account Required)
Access to core calculators, one-time AI estimates, and basic tax estimation features at no cost.
Monthly Plan — $20/month
Access to all paid features including saved estimates, the combined multi-income dashboard, scenario modeling, quarterly reminders, and conversational AI. You may cancel at any time. Cancellation takes effect at the end of your current billing period. No refunds are issued for partial months.
Annual Plan — $99/year
Access to all paid features at a discounted annual rate. The annual plan includes a 14-day money-back guarantee: if you are not satisfied, you may request a full refund within 14 days of your initial purchase or renewal. After the 14-day window, no pro-rated refunds will be issued. Cancellation takes effect at the end of your current annual billing period.
Pricing Changes
We reserve the right to modify our pricing. If we change pricing, existing subscribers will receive at least 30 days' written notice (via the email address associated with their account) before any price change takes effect. You may cancel your subscription before the new pricing takes effect if you do not wish to continue at the new rate.
6. Payment Processing
All payment processing is handled by Stripe, Inc. (“Stripe”). TaxSphere does not store your credit card numbers or banking information. Your use of Stripe is governed by Stripe's terms of service and privacy policy. By subscribing to a paid plan, you authorize Stripe to charge your payment method on a recurring basis according to your selected plan.
7. Refund Policy
- Monthly plans: No refunds. You may cancel at any time, and your access continues through the end of the current billing period.
- Annual plans: Full refund available within 14 days of purchase or renewal. After 14 days, no refunds (including pro-rated refunds) will be issued. To request a refund, contact us at help@qalmtax.com within the 14-day window.
8. AI-Generated Content
Qalm uses artificial intelligence (currently powered by the Anthropic Claude API) to generate plain-English summaries and explanations of your calculated tax estimates.
You understand and agree that:
- AI-generated content is an explanation of numbers produced by Qalm's tax estimation engine. The AI does not independently calculate tax figures.
- AI-generated content is not professional tax advice, legal advice, or financial advice.
- AI-generated content may occasionally contain errors, omissions, or inaccuracies.
- You should not rely on AI-generated content as a substitute for consultation with a qualified tax professional.
- We may change the underlying AI provider at any time without notice.
9. Data Ownership
You own all data you enter into Qalm, including your income figures, expense information, and any other personal or financial data.
You may export your data or request a copy of your data at any time through your account settings or by contacting us at help@qalmtax.com.
You may request deletion of your data at any time. Upon receiving a deletion request, we will delete your data within 30 days, except where retention is required by law.
By using Qalm, you grant TaxSphere a limited, non-exclusive license to process your data solely for the purpose of providing the Service to you. We will not use your data for any other purpose without your explicit consent.
10. Intellectual Property
All content, features, and functionality of Qalm — including but not limited to the tax estimation engine, AI integration, user interface, design, text, graphics, and software — are owned by TaxSphere AI LLC and are protected by copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
TaxSphere AI LLC, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, loss of data, tax penalties, interest charges, or any other losses arising from your use of or inability to use the Service.
Our total aggregate liability to you for any and all claims arising from or related to the Service shall not exceed the total amount you paid to TaxSphere in the 12 months immediately preceding the event giving rise to the claim. If you are a free-tier user, our maximum liability to you is $0.
You acknowledge that tax estimates are inherently imprecise, that tax laws are complex and subject to change, and that no estimation tool can guarantee accuracy. You accept the risk that estimates may differ from your actual tax liability.
12. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free.
- Tax estimates will be accurate, complete, or current.
- The Service will meet your specific requirements.
- Any errors in the Service will be corrected.
13. Indemnification
You agree to indemnify, defend, and hold harmless TaxSphere AI LLC, its officers, directors, employees, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Any claim that your use of the Service caused damage to a third party.
14. Dispute Resolution and Arbitration
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service (“Dispute”) shall be resolved through binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules.
Class Action Waiver:
You and TaxSphere agree that any Dispute will be resolved on an individual basis only. Neither party may bring a claim as a plaintiff or class member in a class action, consolidated action, or representative action. The arbitrator may not consolidate more than one person's claims.
Small Claims Exception:
Either party may bring an individual action in small claims court if the claim falls within that court's jurisdiction.
Opt-Out:
You may opt out of this arbitration agreement by sending written notice to help@qalmtax.com within 30 days of creating your account. If you opt out, disputes will be resolved in the state or federal courts located in North Carolina.
15. Account Termination
By You:
You may delete your account at any time through your account settings or by contacting us at help@qalmtax.com. Upon deletion, your data will be removed within 30 days, and any active subscription will be cancelled (subject to the refund policy in Section 7).
By TaxSphere:
We reserve the right to suspend or terminate your account if you:
- Violate these Terms.
- Use the Service for unlawful purposes.
- Attempt to reverse-engineer, scrape, or abuse the Service.
- Engage in conduct that we reasonably believe is harmful to other users or to the Service.
We will provide notice of termination when reasonably practicable. If we terminate your account for cause, no refund will be issued.
16. Modifications to Terms
We may update these Terms from time to time. If we make material changes, we will notify you via the email address associated with your account at least 30 days before the changes take effect.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the Service and delete your account.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict-of-law principles.
18. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
19. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and TaxSphere AI LLC regarding your use of the Service and supersede any prior agreements.
